Standard Terms and Conditions of Sale

Applicability and Acceptance
These Terms and Conditions of Sale (“Terms”) shall govern all sales of goods and services by Dynamic Stone Tools Inc. (“Seller”) to any customer (“Buyer”). By placing an order or accepting delivery of products, the Buyer accepts and agrees to these Terms. Any deviation or addition to these Terms by the Buyer, including those contained in standard purchase conditions, shall be deemed void unless expressly agreed to in writing by an authorized representative of the Seller. -
Payment Terms
Unless otherwise agreed in writing, all invoices issued by the Seller are due and payable immediately upon receipt. If a different due date is stated on the invoice or purchase order, that date shall prevail. Late payments shall incur a finance charge of 2.5% per month on the unpaid balance. In the event of non-payment, Seller reserves the right to suspend further deliveries or services without notice. -
Retention of Title
All products remain the property of Dynamic Stone Tools Inc. until full payment has been received, including any applicable interest or charges. Risk of loss transfers to the Buyer upon delivery. -
Collection and Legal Remedies
Should any invoice remain unpaid for more than sixty (60) days beyond its due date, Seller reserves the right to engage a third-party collection agency. The Buyer shall be liable for all costs associated with recovery, including reasonable attorney’s fees and court costs. -
Delivery and Performance
The Seller shall make reasonable efforts to deliver products or perform services according to agreed timelines. However, all delivery dates are estimates. Seller shall not be liable for delays beyond its reasonable control, and no obligation shall be interpreted as a guarantee of outcome or result. -
Limitation of Liability
Seller shall not be held liable for any indirect, incidental, or consequential damages arising from the use of its products or services. Under no circumstances shall the Seller be obligated to participate in claims, litigation, or damages sought by third parties (e.g., end consumers) against the Buyer. -
Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of the United States and the Commonwealth of Virginia. Any dispute arising hereunder shall be subject to the exclusive jurisdiction of the state or federal courts located in Virginia. -
Amendments
Any amendment or waiver of these Terms must be in writing and signed by an authorized officer of Dynamic Stone Tools Inc.
